These Terms of Use (the “Terms”) govern your relationship and interactions with Diced Digital, LLC (“Diced Digital”, “us”, “our”, or “we”). Please read these Terms fully and carefully to learn the rules that control your use of the Diced Digital website(s), web-based software application, mobile device software application (“App”), and Diced Digital products and services (collectively the “Services”).

DICED DIGITAL

Diced Digital uses the Services to offer web-based educational content that students engage to learn real-world skills while earning fractional, Web3 digital-asset incentives. Our educational modules cover a range of subjects including, but not limited to, financial literacy, Web3 protocols, and mindset and belief system awareness and wellness.

The information presented on this website is for entertainment and educational purpose only. Diced Digital is not a financial advisement company, a cryptocurrency exchange, or bank, and we do not provide professional investment advice or formal custodial services.

Diced Digital pays you real ₿itcoin for:

​

a) Signing up with us (registering)

​

b) Watching three onboarding videos

​

c) Each educational video you watch

d) Every educational question you successfully answer

​

e) Each mindset awareness video you watch

​

f) Every mindset prompt you consider or answer

By signing up with Diced Digital and using the Services, you agree that:

​

a) Your Diced Digital Account will be held in custody until you reach the age of 18, or graduate from high school ("the age of maturity"), whichever occurs first. All digital assets earned via the Services provided by Diced Digital shall remain in the control of Diced Digital until said funds are transferred to you at the age of maturity. 

b) The digital-asset portfolio you build will be transferred into your possession and control after high school graduation, or reaching the age of majority (typically 18 years old in most states). You will email us at support@diceddigital.io to initiate the transfer from your Diced Digital custodial account to your personal wallet.

Diced Digital is not a bank, and we are not acting as a trustee, fiduciary, formal custodian, or escrow with respect to your digital asset earnings. Diced Digital is not a cryptocurrency exchange, or financial adviser, and the Services are not intended to provide, or be a substitute for, financial advice. Diced Digital does not make any representations, warranties, or guarantees of any kind that the Services are appropriate for you. Diced Digital makes no guarantees or representations that your Diced Digital account balance will grow to a specific amount, or will increase in value.

YOUR RIGHTS 

​

Per your school’s contract with Diced Digital, you are granted subscription access to the Services.  Your subscription and right to access and use the Services begins when you register, and shall continue until you reach the age of majority, have your earned digital assets transferred to your possession and control, and end your subscription relationship with Diced Digital.

YOUR PERSONAL INFORMATION

Diced Digital will use the personal information provided to us from you and your school, including name, passwords, and other data collected through your use of the Services, to provide the Services to you, and to continuously improve your user experience. Information collected may be used for:

​

• Promoting active learning

• Offering assistive technology options

• Connecting students to specific programming

• Developing life skills that form critical foundations for future success

• Analyzing student understanding and performance for immediate feedback

In addition to the other requirements listed throughout these Terms, in order to use the Services you must: (a) register on the Diced Digital App or website; (b) reside in the United States; and (c) provide all information requested.

ACCOUNT USAGE

​

You may setup, use, and control only one Diced Digital account. In the event Diced Digital determines that you have established, owned, maintained, used, or controlled more than one Diced Digital account, or that more than one user has accessed any single Diced Digital account, we reserve the right to suspend or terminate any or all such accounts, and withhold or revoke any assets earned through the Services associated with those accounts. You are responsible for all activity that occurs through your account, and you agree not to sell, transfer, license, or assign your account, username, or any account rights. You further agree that you are responsible for following all terms and conditions regarding your use of the Services.

FORBIDDEN CONDUCT

​

a)  Diced Digital accounts may not be created and used to complete the same course more than once, regardless of device.  You may only complete any given course one time.  Any violation of this policy constitutes grounds for the deletion of your Diced Digital Account and the forfeiture of any “Pending” funds earned via the Services.

b)  You may not create a Diced Digital account for anyone other than yourself.

​

c)  You agree not to give access to your Diced Digital account to any other person to use your username and password or mobile device or App to access the Services. You are solely responsible for the secrecy and security of your username, password, and other User Information. 

d)  Except as otherwise expressly stated in these Terms or required by applicable law, Diced Digital is not responsible for any losses arising out of the loss, theft, or misuse of your User Information, mobile device, or App or from unauthorized or fraudulent transactions associated with your personal bank account or your Diced Digital Account. If you suspect or become aware of any unauthorized activity or access to your account, username, password, or mobile device, you must contact Diced Digital immediately. e)  You may not post offensive content, including but not limited to, pictures, videos, comments, or links to violent, discriminatory, unlawful, infringing, hateful, sexually explicit, or pornographic content via the Services.

f)  You may not defame, stalk, bully, abuse, harass, threaten, impersonate or intimidate anyone via the Services, or in-person, in any way related to Diced Digital.

g)  You may not use the Services for any illegal or unauthorized purpose, and must further agree to comply with all laws, rules and regulations.

h)  You may not change, modify, adapt, or alter the Services. 

i)  You agree that you will not solicit, collect, distribute, or otherwise use the login credentials of other Diced Digital users.

j)  You agree not to interfere with, or disrupt, the Services, including by transmitting any worms, viruses, spyware, malware, or any other code of a destructive or disruptive nature. 

k)  You may not seek to obtain the source code or underlying ideas, or information of, or relating to, the Services.

l)  You understand and agree that you use the Services at your own risk.

m)  You may not assign, delegate, or transfer these Terms, or your rights or obligations hereunder, or your Diced Digital account or its Services, in any way without Diced Digital's prior written consent.

MODIFICATION TO TERMS

​

Diced Digital reserves the right to update and expand the features and functionality of the Services at our discretion. We may, from time to time, modify these Terms. We will notify you by email, or by publishing a message to your Diced Digital Account, in advance of any material modification to these Terms. Your continued use of the Services after any such modification represents your acceptance of such changes.

PROPRIETARY CONTENT

​

The materials displayed, performed, or available on, or through, the Services, including, but not limited to, text, graphics, data, videos, photos, images, illustrations, and so forth (all of the foregoing, the “Diced Digital Content”) are protected by copyright and/or other intellectual property laws. You promise that you will not use, copy, change, sell, or otherwise exploit any Diced Digital Content without the prior written permission of Diced Digital.

Subject to these Terms, Diced Digital grants you a non-exclusive, revocable, non-transferable license for accessing and using the Services. The Services may allow you to copy or download certain Diced Digital Content, but all proprietary restrictions in this section still apply.

The Services may contain links or connections to third-party websites or services that are not owned, influenced, or controlled by Diced Digital. When you access third-party websites, or use third-party services, you accept that there are risks in doing so, and that Diced Digital is not responsible. Diced Digital has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of, or opinions expressed in, any third-party websites, or by any third party that you interact with through the Services.

DISCLAIMER

Diced Digital and its partners, subsidiaries, or affiliated entities, and each of their respective officers, directors, members, employees, consultants, contract employees, representatives and agents, and each of their respective successors and assigns (Diced Digital and all such parties together, the “Diced Digital Parties”) make no representations or warranties concerning the Services, including, without limitation, regarding any content contained in, or accessed through, the Services.  The Services and content are provided by Diced Digital on an “as-is” basis, without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that use of the services will be uninterrupted or error-free. Some states do not allow limitations on how long an implied warranty lasts, so the above limitations may not apply.

INDEMNIFICATION

You agree to indemnify and hold Diced Digital and its officers, directors, members, employees, representatives, agents, and other related parties, harmless from, and against, any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any claims relating to your use of the Services (including any actions taken by a third party using your account), and your violation of the Terms.

GOVERNING LAW

These Terms of Service will be governed by and construed in accordance with the laws of the State of Missouri, without giving effect to any choice of law or conflict of law rules or provisions, whether Federal, or of any other jurisdiction, which would result in the application of the laws of a jurisdiction other than the State of Missouri.

AGREEMENT

You and Diced Digital agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Diced Digital, and that these Terms supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms. You hereby acknowledge and agree that you do not have any authority of any kind to bind Diced Digital in any respect whatsoever.
